Getting out of contract signed by previous chairperson （已经回答）

请教大律师， 我们的前bodycrop chairperson 跟现在的 bodycorp secretary 在两年前签了个service contract 我记得当时签的是两年 我们投了反对票 不过只占了总数的 35%。
现在  之前的chairperson 卖物业走人了。 我们换了新的chairperson， committee 商量之后集体同意cancel 现在secretary的service。 已经给他们发通知了 可是那个bodycorp secretary 找各种理由阻拦 说前chairperson 签了5年的合同 要到2015才结束contract。 说我们still bind in the contract.


想请教大律师 一下子签5年的合同有效不（周一才知道是不是5年的） 然后之前签合同的chairperson离开了 会不会对contract有什么影响？

如果我们committee 要他们立马给我们BC account的支票开出来 他们要不给 我们有什么有效的手段可以最快取得cheque？

您好，首先，做决定的不是chairperson 本人，是你们的body corporate committee, 所有的决定是binding的，因为commitee 是合法决定的（by general / special resolution)。

是否可以推翻secretary service 取决于你们的body corporate rules, 还有你们当时签署的时间，包括body corporate meeting minute 的记录，无法直接回答问题。

101 How matters at general meeting of body corporate decided


(1) Any matters at a general meeting of a body corporate relating to an exercise of a duty or power that may not be delegated under section 108(2), or that have not been delegated to the body corporate committee, must be decided by special resolution.


(2) Except as otherwise provided in this Act, all other matters to be decided by the body corporate at a general meeting must be decided by ordinary resolution.


(3) Any matter that is not on the agenda for a general meeting may be discussed at the meeting but, unless all the eligible voters are present at the meeting, no resolution may be voted on and made in respect of that matter except to include that matter on the agenda for a subsequent general meeting.


(4) Every resolution must be recorded in writing.
